Goods are payable at the order and at net price without discount, except other specific agreement. Late penalties apply in case payment occurs after the payment date shown on the invoice. The penalty's rate is 3 times the legal interest rate plus 8 points from the first late day. In addition, a fixed charge of 40€ will be automatically due to the Supplier to cover debt collection costs. The Supplier reserves the ownership of the goods until full payment of their price and may repossess the goods on demand in case of late payment. In case of conformity defect, the Supplier's warrantee is limited to repairing or replacing the goods as per Manufacturer's warrantee. There shall be no liability for the Supplier for, but not limited to, loss of production, loss of profit, loss of use, loss of contracts or for any consequential, economic or indirect loss whatsoever, due to the execution or non-execution of the obligations in this contract. Whatever the type of direct damage, the Customer may be entitled to a compensation not exceeding 2% of the goods selling price (excluding tax and customs duties). Should the Customer fail to meet his obligation related to the order placed, the Supplier shall be entitled to claim against the Customer a 10% forfeited amount of the total amount of order excluding taxes ans customs duties on top of any down payment which is not refundable and without prejudice for the Supplier to claim fo any other damages or the order fulfilment. For any and all claims relating to the sales made by the Supplier, Bordeaux tribunals shall have sole jurisdiction, even in case of introduction of third parties and/or multiple defendants. The present sale is subjected to French law and particularly provisions 1582 and further of French Civil Code. The parties expressly disclaim the application of the United Nations Convention on the Internationak Sale of Goods, except other specific agreement.
